HSR and 30-Day Advanced Notice for Health Care and Health Carrier Transactions


Nevada Revised Statutes (NRS) 598A.370 defines what is a "reportable health care or health carrier transaction," and 598A.390 requires a notice to be submitted to the Office of the Nevada Attorney General by any party to a reportable health care or health carrier transaction at least 30 days prior to the consummation of that transaction.  Parties may submit their notice using the form, Advance Notice for Health Care and Health Carrier Transactions, and emailing it to HSRand30dayHealthNotices@ag.nv.gov.  In lieu of this form, parties may also submit a copy of a filing, pursuant to NRS 598A.400; or submit a notification regarding the transaction to the Commissioner of Insurance, pursuant to NRS 692C.363.  Either of these should be emailed to HSRand30dayHealthNotices@ag.nv.gov.  NRS 598A.400 also requires a person conducting business in the State of Nevada to submit a copy of any notice required under the Hart-Scott-Rodino Antitrust Improvement Act of 1976 (HSR), 15 U.S.C. § 18a if the transaction involves any assets of a group practice or health carrier in this State.  Parties may submit a copy of their HSR notice by emailing it to HSRand30dayHealthNotices@ag.nv.gov.  Parties or persons who fail to provide the required notices may be subject to daily penalties, as provided in NRS 598A.430.
